Explanation of Responses:

1. Shares of restricted stock granted under the First Amended Basic Energy Services, Inc. Non-Employee Director Incentive Plan, as amended, (the "Plan") with 100% of the shares of restricted stock vesting on May 15, 2020.

2. Time-based restricted stock units granted under the Plan, with 100% of the restricted stock units vesting on May 15, 2020. Each cash-settled restricted stock unit subject to this award is the economic equivalent of one share of the issuer's common stock and must be settled solely in cash, subject to a maximum settlement amount of $9.00 per such restricted stock unit.
