Item 8.01 Other Events.
On May 31, 2019, Basic Energy Services, Inc. (“Basic”) issued a press release announcing that its Board of Directors has authorized a share repurchase plan. Under the plan, Basic may repurchase up to $5.0 million of Basic’s outstanding shares of common stock beginning on June 4, 2019 for a period of 12 months. Basic is authorized to repurchase its common stock from time to time in open market purchases or in private transactions in accordance with applicable federal securities laws. The timing of repurchases and the exact number of shares to be purchased will be determined by Basic’s management, in its discretion, and will depend upon market conditions and other factors. A copy of the press release is being filed as Exhibit 99.1 hereto and is incorporated herein by reference.
