Item 8.01 Other Events.
On May 24, 2012, Basic Energy Services, Inc. (“Basic”) issued a press release announcing that its Board of Directors has authorized the repurchase of up to $35.0 million of Basic’s common shares from time to time in open market or private transactions, at Basic’s discretion. A copy of the press release is being filed as Exhibit 99.1 hereto and is incorporated herein by reference.
