(d) On August 26, 2004, Herwig von Morzé, Ph.D. was appointed to the Board of Directors of Telik, Inc. in the class of directors whose term expires at Telik’s 2007 annual meeting of stockholders. The Board of Directors of Telik has not determined the Board committees on which Dr. von Morzé will serve.
