Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On October 5, 2015, Howard N. Gould, Director for both Pacific Mercantile Bancorp (the “Company”) and its subsidiary, Pacific Mercantile Bank (the “Bank”) provided notice to the Company and the Bank of his resignation from all of his positions with the Company and the Bank. Mr. Gould’s decision to resign was personal and not the result of a disagreement with the Company or the Bank on any matter relating to the respective operations, policies or practices of the Company or the Bank.
