Explanation of Responses:

1. The Reporting Person entered into a private securities transaction with Nicholas Morrison; whereby Mr. Morrison acquired 1,500,000,000 shares of the Reporting Person's common stock in the Issuer for $15,000.

2. The remaining number of shares following this transaction and owned by the Reporting Person, and, the Reporting Person's obligations under Section 16(a) of the Securities Exchange Act of 1934 are subject to audit.

3. Following the transaction reported hereunder, the Reporting Person, in addition to the Issuer's common stock, owns 100% of the Issuer's Series A Preferred Stock, the Issuer's control stock.
