(d) Election of Directors
On May 2, 2014, Deep Down, Inc. (the “Company”) announced Mark Carden has joined the Board as an independent director, effective May 1, 2014. There are no family relationships between Mr. Carden and any director or executive officer of the Company.
In connection with such appointment, Mr. Carden received a grant of 30,000 shares of restricted common stock of the Company, of which one-third will vest on each of the first, second and third anniversary of the date of such grant.
