1. The price reported in Column 4 is a weighted average price. These shares were purchased in multiple transactions at prices ranging from $11.98 per share to $12.10 per share, inclusive. The Reporting Person undertakes to provide the Issuer, any security holder of the Issuer or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares purchased at each separate price within the range set forth in this footnote.

2. Represents shares of common stock held by entities affiliated with Bay City Capital, LLC including Bay City Capital Fund V, L.P. and Bay City Capital Fund V Co-Investment Fund, L.P. Bay City Capital Management V LLC ("GP V") is the general partner of Bay City Capital Fund V, L.P. and Bay City Capital Fund V Co-Investment Fund, L.P. (collectively, "BCC V"). Bay City Capital, LLC ("BCC LLC") is the manager of GP V. The Reporting Person is an investment partner and managing director of BCC LLC and shares voting and dispositive power with respect to shares held by BCC V. The Reporting Person disclaims beneficial ownership of these shares, except to the extent of any pecuniary interest therein.
