Explanation of Responses:

1. Reflects the issuance of options to purchase up to 4,500,000 shares of common stock granted to Mr. Gaines on January 11, 2016, for his services as a Chief Executive Officer of Eos Petro, Inc. ("Eos"). The options will vest pro rata over three years, from January 11, 2016 through January 11, 2018. The options each expire on January 11, 2021.
