Item 5.02 Departure of Directors or Principal Officers
(b) On April 19, 2005, David Solo, a member of the Board of Directors of Avistar Communications Corporation (the “Company”), notified the Company in writing that he will not be standing for re-election to the Board at the Company’s 2005 annual meeting of stockholders, scheduled for June 1, 2005. Mr. Solo indicated that he has assumed a full time role based overseas, and would be unable to continue to serve as a director of the Company following the annual meeting. Mr. Solo is expected to remain on the Board until the Company’s 2005 annual meeting.
