Section 1 – Registrant’s Business and Operations
Item 1.01 Entry into a Material Definitive Agreement.
On January 21, 2010, Avistar Communications Corporation completed the sale of its U.S patents and certain patent applications, and related foreign patents and patent applications to Intellectual Ventures Fund 61 LLC in connection with that patent sale transaction more fully described in Avistar’s Current Report on Form 8-K filed with the Securities and Exchange Commission on December 24, 2009. Intellectual Ventures’ right to terminate the patent purchase agreement for any reason expired unexercised on December 25, 2009 and the purchase price of $11 million was paid to Avistar by Intellectual Ventures on January 21, 2010.
