As previously disclosed by NiSource Inc. (the “Company”), in February 2019, the Securities and Exchange Commission (the “SEC”) commenced an investigation of the Company related to disclosures made prior to the series of fires and explosions that occurred in Lawrence, Andover and North Andover, Massachusetts related to the delivery of natural gas by Columbia Gas of Massachusetts, a wholly-owned subsidiary of the Company, on September 13, 2018. On November 27, 2019, the SEC Staff notified the Company’s outside counsel that it has concluded its investigation and, based on the information provided to the SEC as of such date, it does not intend to recommend an enforcement action against the Company. The SEC’s notice, provided under the guidelines described in the final paragraph of Securities Act Release No. 5310, states in part that the notice “must in no way be construed as indicating that the party has been exonerated or that no action may ultimately result from the staff’s investigation.”
