Item 8.01 Other Events.

Endeavour International Corporation (the “Company”) is today filing a registration statement on Form S-4 (the “Registration Statement”), which incorporates by reference the contents of this Current Report on Form 8-K. Certain subsidiaries of the Company (the “Subsidiary Guarantors”) will be co-registrants with the Company, and the Registration Statement will register the guarantees of debt securities by the Subsidiary Guarantors. At such time, the Company will become subject to the requirements of Rule 3-10 of Regulation S-X regarding financial statements of guarantors and issuers of guaranteed securities registered or being registered. Pursuant to Rule 3-10 of Regulation S-X, the Company is adding in Exhibits 99.1 to this Current Report on Form 8-K Note 25 to the Notes to Consolidated Financial Statements at December 31, 2011 and 2010 and for the years ended December 31, 2011, 2010 and 2009.

This Current Report on Form 8-K should be read in conjunction with the Company’s Annual Report on Form 10-K for the year ended December 31, 2011 and its Quarterly Report on Form 10-Q for the quarterly period ended September 30, 2012, as well as the Company’s other filings with the Securities and Exchange Commission.
