Item 1.01 Entry into a Material Definitive Agreement.
Effective May 29, 2008, Endeavour International Corporation (the "Company") entered into an amended and restated employment agreement (the "Agreement") with William L. Transier that amends his previous amended employment agreement. The Agreement extends the term of Mr. Transier's employment to May 31, 2011 and makes administrative and technical changes to various provisions in order to maintain compliance with Section 409A of the Internal Revenue Code. Mr. Transier's compensation levels were not changed as a result of the Agreement.
The Agreement is filed as Exhibit 10.1 to this Current Report on Form 8-K and is incorporated herein by reference.
