Section 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year
| (a) | On September 21, 2006, the Board of Directors of Pavilion Bancorp, Inc. approved an amendment to the Bylaws of the Corporation. The Bylaws were amended to clarify a potentially ambiguous bylaw (Section 4.4) dealing with the mandatory retirement age of directors. Section 4.4 of the Bylaws was clarified to provide that a director of the Corporation is automatically retired from the Board on the date of the annual shareholders meeting following the director's 68th birthday. The amended Section 4.4 is attached as an exhibit to this Current Report on Form 8-K. |
