On September 6, 2011, Thomas G. O’Keefe, President, Penn Foster Division of The Princeton Review, Inc. (the “Company”) and President of the Company’s subsidiary, Penn Foster, Inc., and a named executive officer, informed the Company of his resignation from all of the offices of the Company held by him, effective September 30, 2011.
