Item 4.01 Changes in Registrant’s Certifying Accountant
(b)New Independent Registered Public Accounting Firm. On June 30, 2005, the Audit Committee of the Board of Directors of InterVideo, Inc. (the “Company”) recommended and approved the engagement of Grant Thornton LLP as the Company’s independent registered public accounting firm to audit the Company’s financial statements and internal control over financial reporting for the year ending December 31, 2005.
During the years ended December 31, 2003 and 2004 and from January 1, 2005 through June 30, 2005, neither the Company nor anyone acting on its behalf consulted Grant Thornton LLP regarding (1) the application of accounting principles to a specified transaction, either completed or proposed, or the type of audit opinion that might be rendered on the Company’s financial statements; or (2) any matter that was either the subject of a disagreement as defined in Item 304(a)(1)(iv) of Regulation S-K or a “reportable event” described in Item 304(a)(1)(v) of Regulation S-K.
