Item 1.01. Entry into a Material Definitive Agreement
On June 27, 2006, American Medical Systems Holdings, Inc., a Delaware corporation (the “Company”), issued $373,750,000 in principal amount of its 3 1/4% Convertible Senior Subordinated Notes due 2036 (the “Securities”) pursuant to an Indenture dated as of June 27, 2006 (the “Indenture”), entered into among the Company, certain of its significant domestic subsidiaries, as guarantors of the Securities, and U.S. Bank National Association, as trustee for the benefit of the holders of the Securities (the “Trustee”). The Indenture specifies the terms and conditions of the Securities.
As previously disclosed by the Company, Kermit Merger Corporation, a California corporation and an indirect wholly owned subsidiary of the Company (the “Purchaser”) acquired Laserscope, a California corporation (“Laserscope”), and on July 25, 2006 the Purchaser subsequently merged with and into Laserscope, with Laserscope surviving as an indirect wholly owned subsidiary of the Company (the “Laserscope Acquisition”). The proceeds from the sale of the Securities were used to finance a portion of the purchase price in the Laserscope Acquisition.
As required by the terms of the Indenture and in connection with the completion of the Laserscope Acquisition, Laserscope and the Trustee, for the benefit of the holders of the Securities, entered into a First Supplemental Indenture, dated as of September 6, 2006 (the “Supplemental Indenture”) pursuant to which Laserscope became a party to the Indenture. In addition, Laserscope executed a Guarantee, dated as of September 6, 2006 (the “Guarantee”), pursuant to which Laserscope agreed to guarantee all of the Company’s obligations arising under the Indenture and the Securities. An executed copy of the Supplemental Indenture and the Guarantee are attached as Exhibits 4.1 and 4.2, respectively, to this Current Report on Form 8-K and are incorporated by reference into this Item 1.01.
