Explanation of Responses:

1. Sale of a total of 1,111 shares of common stock was made in order to satisfy Mr. Neylan's income tax withholding obligation upon the vesting of 3,749 shares of restricted stock on April 20, 2018. Mr. Neylan had no discretion with respect to such sale, which was transacted in accordance with the Issuer's corporate policies regarding the vesting of restricted stock.
