Explanation of Responses:

1. Sale of a total of 2,354 shares of common stock was made in order to satisfy Mr. Holmes' income tax withholding obligation upon the vesting of 8,228 shares of restricted stock on July 27, 2018 and July 28, 2018. Mr. Holmes had no discretion with respect to such sale, which was transacted in accordance with the Issuer's corporate policies regarding the vesting of restricted stock.
