Item 8.01. Other Events.
On March 27, 2007 the Company indicated that during the course of the audit process and efforts to comply with Section 404 of the Sarbanes-Oxley Act of 2002, management had identified internal control weaknesses and had not determined whether any restatement of prior-period financial statements would be required under generally accepted accounting principles with respect to the financial results for the quarterly interim periods in 2006. The Company also reported that management had commenced an internal review of the Company’s internal control over financial reporting and that it would not file its Form 10-K annual report on a timely basis.
Management’s review of internal control weaknesses is still in process and has not been completed. However, on April 2, 2007 the Company, in consultation with its independent audit committee and current independent registered public accounting firm, Berkovits, Lago & Company LLP, determined that a restatement of prior-period financial statements would be required under generally accepted accounting principles with respect to the Company’s internal control over financial reporting, including, at a minimum, the revenue recognition policy for development revenue earned during 2006.
The Company expects to restate its financial results for the first, second and third quarters of 2006. Accordingly, the financial statements and related audit reports for these interim periods contained in the following Company filings with the Securities and Exchange Commission should no longer be relied upon:
· | Quarterly Report on Form 10-Q for the quarterly period ended March 31, 2006; |
· | Quarterly Report on Form 10-Q for the quarterly period ended June 30, 2006; |
· | Quarterly Report on Form 10-Q for the quarterly period ended September 30, 2006. |
Since management has not completed its testing and evaluation of the Company’s internal control over financial reporting, and with respect to any control deficiencies identified to date, the Company’s management may ultimately identify additional control deficiencies. The Company will conclude its analyses and report its findings prior to filing its Annual Report on Form 10-K for the year ending December 31, 2006.
