Item 2.02 Results of Operations and Financial Condition.
On July 26, 2006, Millennium Cell Inc. (the “Company”) issued a press release to report, among other things, the Company’s financial results for the second quarter of 2006. The full text of the press release is attached hereto as Exhibit 99.1.
