1. The option vests in 36 equal monthly installments and will be fully vested and exercisable on February 21, 2020.

2. Each restricted stock unit represents a contingent right to receive one share of the Issuer's common stock.

3. Represents shares issuable upon the vesting of restricted stock units ("RSUs") awarded to the Reporting Person on February 21, 2017. The RSUs vest on the one year anniversary of the date of grant, so long as there has been no break in the Reporting Person's continuous service through such date.
