Explanation of Responses:

1. Represents the Officer and Director's net exercise of two Stock Options for a total of 40,000 shares and the Company's concurrent purchase of the remaining shares underlying the Option pursuant to the Company's Stock Repurchase Program.

2. The shares were valued for determination of the exercise consideration and for the Company's purchase of the remaining shares at the closing price of the shares on Nasdaq on the trading day before the date of exercise.
