Item 8.01. Other Events.
On December 22, 2006, at a special meeting of stockholders of Trend Mining Company (the “Company”), the Company’s stockholders approved the Amendment and Restatement of the Company’s Certificate of Incorporation primarily for the purpose of (i) increasing the Company’s authorized common stock to 250,000,000 shares and (ii) deleting Section 4.4 of the Company’s Certificate of Incorporation, which undesignates the rights, preferences and privileges of the Company’s Series A Preferred Stock.
