On July 12, 2007, the Registrant filed a Current Report on Form 8-K (the “Report”) in connection with its acquisition of Vital Consultants, LLC in exchange for 80,000,000 newly-issued shares of the Registrant’s common stock, par value $0.001 per share (the “Exchange”).  The description and terms of the Exchange contained in the Company’s 8-K/A filed on July 12, 2007 are incorporated herein by reference. A copy of the Exchange Agreement was filed as Exhibit 99.1 on Form 8-K on July 12, 2007 and is incorporated herein by reference. The Current Report on Form 8-K/A filed July 12, 2007 is being amended by this Amendment No. 2 to include the required historical financial statements and other financial information with respect to the Exchange as required by Item 9.01 (a) and the pro forma financial information required by Item 9.01 (b). Financial statements are being provided for Vital Solutions, LLC.

This Report replaces Item 9.01 of that filing:
