On October 15, 2009, China BAK Battery, Inc. (the “Company”), entered into a letter agreement with Tony Shen, the Company’s Chief Financial Officer. The letter agreement confirmed that the Employment Agreement between the Company and Mr. Shen, dated as of May 13, 2007 (the “Employment Agreement”), has been automatically extended through May 13, 2010. It also modified certain terms of the Employment Agreement to provide as follows: Pursuant to the letter agreement, Mr. Shen will remain the Company’s Chief Financial Officer until April 25, 2010. If the Company terminates Mr. Shen prior to this date, he will receive all compensation and benefits he would otherwise be entitled to through that date. After this date, the Company may terminate Mr. Shen’s employment upon 60 days’ notice. In addition, Mr. Shen’s monthly compensation will be $20,000 from the date of the letter agreement through April 25, 2010.
This brief description of the terms of the letter agreement is qualified by reference to the provisions of this agreement. The letter agreement is included as Exhibit 10.1 to this Report, and is hereby incorporated by reference herein.
