Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(b) Director and Officer Departure
Effective January 24, 2024, Deborah Kasputis retired from her consulting business which included Mass Megawatts as a client. In retirement, she relocated to Pennsylvania. Ms. Kasputis had no disagreement with Mass Megawatts.
(d) Appointment of Director
Effective January 24, 2024, The Board of Directors (the “Board”) of Mass Megawatts Wind Power, Inc. (the “Company”) appointed Scott Taber, age 63, to fill the vacancy of the Deborah Kasputis, as a member of the Board to serve until his successor is duly elected and qualified. Mr. Taber is not currently a member of any Committee of the Board. The Company has no special understanding with Mr. Taber in connection to the appointment to the Board except for the reimbursement of expenses in connection with his services to the Board.
Mr. Taber has a long history of investing and serving as an advisor for startup companies and post-start-up stage companies with new technologies.
