Explanation of Responses:

1. Shares withheld for payment of exercise price pursuant to terms of the option agreement. The fair market value of Brocade common stock used for purposes of calculating the number of shares to be withheld was the closing price of Brocade common stock as reported on the NASDAQ Stock Market on December 13, 2016.

2. Amount of securities beneficially owned includes 20,223 unvested restricted stock units.

3. The options vested in full on April 12, 2011, subject to the terms of the 2009 Director Plan.
