Item 1.01. Entry into a Material Definitive Agreement.
Amendment to Credit Agreement
On February 8, 2023, Broadwind, Inc. and its subsidiaries (the “Company”) entered into Amendment No. 1 to Credit Agreement and Limited Waiver (the “First Amendment”) to the Credit Agreement dated as of August 4, 2022, by and among the Company and Wells Fargo Bank, National Association (the “Credit Agreement”). Among other changes, the First Amendment (1) waived an existing event of default under the Credit Agreement by the Company related to a financial covenant, (2) amended the Fixed Charge Coverage Ratio (as defined in the Credit Agreement) requirements for the twelve-month period ending January 31, 2024 through and including June 30, 2024 and each twelve-month period thereafter, and (3) amended the minimum EBITDA requirements applicable to the twelve-month periods ending March 31, 2023, June 30, 2023, September 30, 2023, and December 31, 2023.
