Item 5.02Compensatory Arrangements of Certain Officers.
On April 23, 2007, the board of directors of Iowa Telecommunications Services, Inc., an Iowa corporation (the “Company”), adopted, subject to shareholder approval, Amendment No. 1 to the Company’s 2005 Stock Incentive Plan, dated June 16, 2005 (the “Plan”). On June 14, 2007, the Company’s shareholders approved Amendment No. 1 to the Plan. Amendment No. 1 to the Plan results in three changes to the Plan as previously approved. First, it increased the aggregate number of shares of our common stock that may be issued under all stock-based awards made under the Plan to 1,500,000 from 500,000. Second, it changed the limitation on awards granted to non-employee directors, which is expressed as a percentage of shares available for awards under the Plan, to 10% from 5%. Third, it extends the life of the Plan by two years.
