Item 1.01 Entry into a Material Definitive Agreement.
On March 20, 2020, Comstock Mining Inc. (the “Company”) amended and restated its Membership Interest Purchase Agreement (the “Purchase Agreement”) with Tonogold Resources, Inc. As amended, the remaining cash purchase price payable under the Purchase Agreement will be payable under a 12% secured convertible note with principal amount of $5.475 million dated March 20, 2020, with $1 million payable October 15, 2020, and the remaining $4.475 million payable on September 20, 2021, with cash interest paid monthly. Additional Membership Interest will be delivered to Tonogold proportionately to the cash principal payments received on the Note.
The foregoing summary of the terms of the amended lease is not intended to be exhaustive and is qualified in its entirety by the terms of the Purchase Agreement, a copy of which is attached hereto as Exhibit 10.1 and incorporated by reference herein.

On March 26, 2020, the Company announced matters related to the COVID-19 virus, an update to strategic transactions and selected strategic, transactional and financial highlights.
A copy of the press release is attached as Exhibit 99.1 to this Form 8-K. This Section 2.02 of this Form 8-K and Exhibit 99.1 are each being furnished to the Securities and Exchange Commission (the “SEC”) pursuant to Item 2.02 of Form 8-K and are therefore not to be considered “filed” with the SEC.
