The Series A Convertible Preferred Stock is convertible on a 7.473-for-one basis into the number of shares of Common Stock of the Issuer as shown in Column 3 at any time at the holder's election, and automatically upon the closing of the initial public offering of the Issuer without payment or further consideration.
