Item 8.01. Other Events.
In a press release issued on March 16, 2021, Oil States International, Inc. (the “Company”) announced that, subject to market conditions, the Company intends to offer convertible senior notes due 2026 (the “Notes”) in a private offering to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Offering”). A copy of the press release is filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
In the offering memorandum for the Notes, the Company disclosed the following information:
On March 16, 2021, the Company entered into an amendment (the “Amendment”) to the Credit Agreement (as defined herein). The Amendment amended the Company’s credit agreement (the “Credit Agreement”) dated as of February 10, 2021, among the Company, Wells Fargo Bank, National Association, as administrative agent, and the lenders and other financial institutions from time to time party thereto, to permit the Company to incur the indebtedness represented by the Notes.
Activity levels in all three of the Company’s segments were adversely impacted by the severe winter weather event that occurred in February 2021. While its facilities did not sustain meaningful damage and its operations and services were restored following the event, the Company expects that its results of operations for the 2021 first quarter will be adversely impacted as a result of this event.
