Item 8.01 Other Events.
On February 14, 2024, Yield10 Bioscience, Inc. (the "Company" or “Yield10”) issued a press release announcing that it has entered into a License and Service Fee Agreement ("Agreement") with Vision Bioenergy Oilseeds LLC ("Vision"), a company engaged in the development and commercialization of oilseed crops, such as Camelina sativa, to be used as feedstocks for biofuel production. The license provides Vision with an exclusive fully-paid, perpetual right and license to use Yield10's herbicide tolerant trait technology in Camelina, for a three-year period beginning on the effective date of the Agreement, after which the license becomes non-exclusive. Under the terms of the Agreement, Yield10 will provide Vision with technical assistance related to the performance and completion of various service milestones as provided in the Agreement. The Company may also provide Vision with consulting assistance for technical services outside the scope of the Agreement.
