Report of Foreign Private Issuer
On May 27, 2009, Valcent Products, Inc. (the “Company”) began distribution of a Notice of Special Meeting of Shareholders, an Information Circular, and an Instrument of Proxy with respect to a special meeting of shareholders to be held on June 22, 2009. At that meeting the Company’s shareholders will be asked to consider two proposals: one to approve a reduction in the Company’s stated capital of its common shares; and the second to approve a consolidation of the Company’s common shares on the basis of eighteen common shares into one common share.
