1. Units convert to Common Stock on a one-for-one basis.

2. Restricted Stock Units ("Units") granted under the Aetna Inc. 2010 Non-Employee Director Compensation Plan (the "Plan"). Subject to terms of the Plan, Units will vest in four substantially equal installments on August 20, 2016; November 20, 2016; February 20, 2017, and May 20, 2017, with payment of the Units deferred until May 22, 2017. Upon payment date, Units will be issued in Common Stock.
