Item 8.01. Other Events.
On November 22, 2005, Alliance Fiber Optic Products, Inc. (the "Company") received a letter from The Nasdaq Stock Market, Inc. advising the Company that it had regained compliance with the $1.00 minimum bid price requirement of Marketplace Rule 4310(c)(4).
