ITEM 7.01 REGULATION FD DISCLOSURE.
On February 28, 2005, the U.S. District Court for the Western District of Pennsylvania granted Napster, Inc.’s motion to stay the litigation proceedings between Napster and SightSound Technologies, Inc., Case No. 04-1549. Napster had sought a stay pending a requested reexamination of the SightSound patents that are the subject of the litigation by the U.S. Patent and Trademark Office. The USPTO has not yet determined whether or not it will reexamine these patents. The court also denied SightSound’s motion for preliminary injunction, without prejudice.
On March 3, 2005, Napster, Inc. issued a press release discussing its revenue guidance for the quarter ending March 31, 2005. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated by reference herein.
