Explanation of Responses:

1. On January 5, 2018, NETGEAR, Inc. ("NETGEAR") acquired from Arlo Technologies, Inc. ("Arlo") an aggregate of 1,000 shares of common stock, par value $0.001 per share, of Arlo ("Arlo Common Stock") in connection with Arlo's formation. On August 2, 2018, NETGEAR acquired from Arlo an aggregate of 62,499,000 shares of Arlo common stock in connection with the separation of the Arlo segment from the remainder of the businesses held by NETGEAR and its subsidiaries.
