1. The amount of shares covered by this option was 40,000 with an exercise price of $0.46 upon date of grant but subsequently subject to a 1 for 8 reverse stock split on July 13, 2015.

2. The option shares will vest and become exercisable ratably over 12 months of continuous service after July 10, 2015, subject to the terms of the Company's 2012 Equity Incentive Plan.
