Item 5.02 - Departure of Directors or Principal Officers.
On February 9, 2006, Li (Sabrina) Guo resigned as the Secretary and Director of China Finance, Inc. (the “Company”), effective on such date. There were no disagreements between Ms. Guo and the Company on any matter relating to the Company’s operations, policies or practices which resulted in her resignation.
The Company is currently considering candidates to fill the officer and director positions formerly held by Ms. Guo.
