We have acted as counsel for Catalyst Biosciences, Inc., a Delaware corporation (the “Company”), in connection with the offering by the Company of up to 5,307,692 shares of the Company’s common stock, par value $0.001 (the “Shares”), including up to 692,307 Shares that may be sold pursuant to the exercise of an option to purchase additional shares, pursuant to a registration statement on FormS-3 (Registration StatementNo. 333-228970) (the “Registration Statement”), filed with the Securities and Exchange Commission (the “Commission”) under the Securities Act of 1933, as amended (the “Act”), the prospectus dated February 14, 2019 (the “Base Prospectus”), and the prospectus supplement dated February 13, 2020, filed with the Commission pursuant to Rule 424(b) of the rules and regulations of the Act (the “Prospectus Supplement”). The Base Prospectus and the Prospectus Supplement are collectively referred to as the “Prospectus.” The Shares are to be sold by the Company in the manner described in the Registration Statement and the Prospectus.
