1. Kevin Conroy purchased in the open market 19,500 shares of Exact Sciences Corp. Common Stock at a price per share of $51.35, representing $1,001,325 worth of shares.

2. In addition to the shares of Common Stock reported on this Form 4, which total 1,414,311 shares, Mr. Conroy also holds, in the aggregate, an additional 683,018 vested and unvested options to purchase shares of Common Stock and restricted stock units, with each restricted stock unit representing a contingent right to receive one share of Common Stock.
