Item 8.01 Other Events
The Registrant’s agreement to purchase all of the outstanding common stock of Gemoscan International, Inc., a Toronto-based company engaged in diagnosing and providing solutions for the treatment of food intolerances (“Gemoscan”), has been terminated by the parties. In connection with the termination, the Registrant and Gemoscan executed a mutual general release.
