The Registrant is unable to file, without unreasonable effort and expense, its Annual Report on Form 10-K for the year ended December 31, 2008 because management requires additional time to compile and verify the data required to be included in the report and the auditors will then need additional time to complete their review of the Registrant's financial statements. It is anticipated that the Annual Report on Form 10-K will be filed on or before the fifteenth calendar day following the prescribed due date of the Registrant's Form 10-K.

The Registrant believes that its results of operations for its fiscal year ended December 31, 2008 will significantly vary from the results of operations for its fiscal year ended December 31, 2007. The significant variance is expected to occur primarily as a result of (1) an increased provision for loan losses compared to the prior year, (2) an other-than-temporary impairment loss on the Registrant’s holding of a Freddie Mac preferred equity security, and (3) an other-than-temporarily impairment loss on the Registrant’s portfolio of collateralized mortgage obligations, and related fair value mark-to-market implications under FAS 157. The Registrant is currently evaluating these matters as well as the carrying amounts of its goodwill and net deferred tax assets in connection with the audit of its financial statements for the fiscal year ended December 31, 2008 and is unable to reasonably estimate its 2008 results.
