Item 8.01 Other Events

On March 1, 2017 our Board of Directors declared a quarterly dividend of $0.31 per common share. The record date for the dividend is March 30, 2017 and the payment date is April 12, 2017. Our dividend policy anticipates a total annual dividend of $1.24 per share, to be paid in equal quarterly installments. However, any decision to pay future cash dividends will be subject to the Board’s final determination after a comprehensive review of the company’s financial performance, future expectations and other factors deemed relevant by the Board.

99.1 News release issued on March 1, 2017, disclosing ProAssurance’s declaration of a cash dividend of $0.31 per common share payable on April 12, 2017 to shareholders of record as of March 30, 2017.
