Item 2.02 Results of Operations and Financial Condition.
On August 9, 2006, Odyssey HealthCare, Inc. (together with its subsidiaries, the “Company”) issued the press release attached hereto as Exhibit 99.1 announcing, among other things, a reduction in the loss from discontinued operations previously reported by the Company for the second quarter ended June 30, 2006. The Company previously announced in a press release dated July 31, 2006, that it recognized a loss from discontinued operations of $7.4 million, net of income tax, related to the sale of its Salt Lake City hospice program. Due to a reduction of this charge for discontinued operations for the reason stated in the press release, the Company’s net income for the second quarter of 2006 has been revised to $6.5 million, or $0.19 per diluted share, versus the net loss of $0.6 million, or $0.02 per diluted share, previously reported. The Company’s income from continuing operations of $6.8 million, or $0.20 per diluted share, for the second quarter of 2006 was not affected.
