Item 5. Other Events
On May 24, 2004, Oglebay Norton Company, an Ohio corporation (“Oglebay Norton”), issued a press release announcing that it and its subsidiaries had filed a disclosure statement [on May 21, 2004] (the “Disclosure Statement”), in the United States Bankruptcy Court for the District of Delaware (the “Bankruptcy Court”). A hearing to approve the adequacy of the Disclosure Statement is expected to be scheduled in July 2004.
A copy of the press release and Disclosure Statement are attached as Exhibits 99.1 and 99.2.
Certain information in the Disclosure Statement contains statements that are “forward-looking” in that they reflect Oglebay Norton’s current views with respect to current events and financial performance. These forward-looking statements are subject to uncertainties and factors relating to Oglebay Norton’s operations and business environment and a number of other risks, uncertainties and assumptions, all of which are difficult to predict and many of which are beyond its control.
