(a) On October 25, 2007, the Board of Directors of CenterPoint Energy, Inc. (the “Company”) voted to amend Article III, Section 1(b) of the Company’s Bylaws to change the mandatory retirement age for individuals serving as directors of the Company from 70 to 73. The Bylaws, as so amended, are filed as Exhibit 3.1 to this report.
